By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

Lumirex is a white-label brand and digital presence audit platform designed for digital marketing agencies. The Service enables agencies to run comprehensive audits of client businesses — including AI visibility analysis, business directory citation scanning, website and technical SEO audits, and brand reputation monitoring — and deliver branded reports to their clients.

2. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscriptions and Credits

3.1 Subscription Plans

Lumirex offers subscription plans with varying features, audit credits, and usage limits. Details of current plans are available on our Pricing page. We reserve the right to modify pricing and plan features with reasonable notice.

3.2 Credits

Audits consume credits from your account balance. Credits are non-transferable and expire at the end of each billing period unless otherwise stated. Unused credits do not roll over between billing periods. Additional credits may be purchased as add-ons.

3.3 Billing

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. Subscriptions automatically renew unless cancelled before the renewal date.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

Submit business information for auditing without appropriate authorization from the business owner or your client
Use the Service to generate reports for businesses you have no legitimate professional relationship with
Attempt to reverse engineer, decompile, or extract proprietary algorithms or data from the Service
Use automated scripts or bots to access the Service beyond normal usage patterns
Resell or sublicense access to the Service without our written consent
Upload malicious code, viruses, or harmful content
Violate any applicable laws or regulations
Interfere with or disrupt the integrity or performance of the Service

5. White-Label Features and Client Relationships

Lumirex provides white-label capabilities allowing you to brand reports with your agency's identity. You are solely responsible for your relationship with your clients, including how you present, deliver, and represent audit reports. You must not misrepresent the source or methodology of the reports to your clients in a way that is materially misleading.

You are responsible for ensuring that your use of the Service complies with any agreements you have with your clients and with applicable laws in your jurisdiction.

6. Intellectual Property

6.1 Our Property

The Service, including its software, algorithms, design, and content, is owned by Lumirex and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Content

You retain ownership of any content you upload to the Service (such as agency logos and branding assets). By uploading content, you grant us a limited, non-exclusive license to use that content solely to provide the Service to you.

6.3 Audit Reports

Audit reports generated through the Service are provided to you for your business use. You may share these reports with your clients as part of your agency services. You may not resell the raw report data or represent the reports as your own proprietary research methodology.

7. Third-Party Services

The Service integrates with third-party platforms and data sources including AI providers (OpenAI, Anthropic, Perplexity), business directories, search engines, and social media platforms. We are not responsible for the accuracy, availability, or terms of these third-party services. Audit results are dependent on publicly available data and AI model outputs, which may change over time.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AUDIT RESULTS WILL BE COMPLETE OR ACCURATE.

Audit reports are informational tools based on publicly available data and AI analysis. They should not be relied upon as the sole basis for business decisions. We make no guarantees regarding the outcomes of implementing recommendations contained in audit reports.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIREX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lumirex and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. You may cancel your subscription at any time through your account settings. Upon termination, your access to the Service will cease and your data will be retained for 90 days before permanent deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
